Swopmatch Terms of Service

1. Introduction

Swopmatch ("Swopmatch", "we", "our", or "us") is an online technology platform operated by Partzile (Pvt) Ltd that facilitates introductions between teachers who may be interested in mutually exchanging school placements within Zimbabwe.

Swopmatch is solely a matching and communication platform. Swopmatch is not an employer, recruitment agency, labour broker, transfer authority, government department, ministry representative, or educational authority.

By registering for, accessing, or using the Swopmatch platform, website, mobile application, or related services (collectively, the "Platform"), you agree to be legally bound by these Terms of Service.

If you do not agree to these Terms, you must not use the Platform.

2. Eligibility

To use the Platform, you must:

  • Be at least eighteen (18) years of age;
  • Be a qualified teacher legally employed in Zimbabwe;
  • Have authority to seek or participate in a transfer or school swap;
  • Provide accurate, complete, and current information;
  • Maintain a valid mobile number and email address where applicable.

You warrant that all information submitted to Swopmatch is true, accurate, and complete.

Providing false, misleading, fraudulent, or incomplete information constitutes a material breach of these Terms and may result in immediate suspension or termination of your account without refund.

3. Account Registration and Security

You are solely responsible for:

  • Maintaining the confidentiality of your password, OTPs, and login credentials;
  • All activities conducted through your account;
  • Promptly notifying Swopmatch of any unauthorized access or security breach.

Swopmatch shall not be liable for any loss, damage, unauthorized access, or misuse resulting from your failure to protect your account credentials.

Only one account is permitted per individual unless expressly authorized by Swopmatch.

4. Information Provided by Users

You acknowledge and agree that:

  • Swopmatch relies on information supplied by users;
  • Swopmatch does not independently verify all information submitted by users;
  • Swopmatch does not guarantee the accuracy, completeness, legality, or authenticity of information provided by any teacher;
  • Users are solely responsible for verifying information received from other users.

Swopmatch reserves the right, but has no obligation, to request supporting documentation or verify information at its discretion.

5. Matching Service

The Platform facilitates introductions between teachers whose stated preferences appear compatible.

Swopmatch does not guarantee:

  • That a match will be found;
  • That a match will remain available;
  • That a matched teacher will cooperate;
  • That a school head, district office, provincial office, Ministry official, or any authority will approve a proposed transfer;
  • That any transfer application will be processed within a particular timeframe;
  • That any transfer application will ultimately be approved.

All transfer applications, approvals, negotiations, and administrative processes remain entirely outside Swopmatch's control.

6. No Employment or Agency Relationship

Nothing in these Terms creates:

  • An employment relationship;
  • A recruitment relationship;
  • An agency relationship;
  • A partnership;
  • A joint venture;
  • Any representation authority.

Swopmatch acts solely as a technology platform facilitating introductions between independent users.

7. Fees and Payments

Applicable registration fees, matching fees, and other charges are displayed within the Platform.

All fees:

  • Are payable in advance;
  • Are payable using approved payment methods;
  • May be revised from time to time without prior notice.

A matching fee may be held until both matched teachers have paid the required fee.

Contact details may be released only after payment requirements have been satisfied.

Failure by a matched teacher to complete payment does not create liability on the part of Swopmatch.

Refunds and credits are governed exclusively by the Swopmatch Refund Policy.

8. User Conduct

Users shall not:

  • Provide false information;
  • Impersonate any person;
  • Harass, intimidate, threaten, or abuse other users;
  • Circumvent platform fees;
  • Share another user's personal information without consent;
  • Use automated systems, bots, scraping tools, or data-mining technologies;
  • Resell, reproduce, or commercially exploit platform data;
  • Interfere with the operation or security of the Platform.

Swopmatch reserves the right to suspend, restrict, or terminate access for violations of these Terms.

9. Privacy and Data Processing

By using the Platform, you consent to the collection, storage, processing, and use of your personal information for purposes including:

  • Account management;
  • Matching services;
  • User communication;
  • Fraud prevention;
  • Platform improvement;
  • Legal and regulatory compliance.

You acknowledge that limited personal information may be shared with matched users where necessary to facilitate communication regarding a potential swap.

Swopmatch will take reasonable measures to protect user information but cannot guarantee absolute security of electronic communications or stored data.

10. Third-Party Actions

Swopmatch is not responsible for:

  • Conduct of other users;
  • Statements made by users;
  • Misrepresentation by users;
  • Fraud committed by users;
  • Decisions made by school authorities;
  • Decisions made by district, provincial, or ministry officials;
  • Delays caused by governmental or administrative processes.

Any dealings between users occur entirely at their own risk.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

Swopmatch expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties relating to:

  • Accuracy;
  • Availability;
  • Reliability;
  • Fitness for a particular purpose;
  • Merchantability;
  • Non-infringement.

Swopmatch does not warrant that the Platform will be uninterrupted, error-free, secure, or free from defects.

12. Limitation of Liability

To the maximum extent permitted by law, Swopmatch, Partzile (Pvt) Ltd, its directors, shareholders, employees, contractors, agents, and affiliates shall not be liable for any:

  • Loss of income;
  • Loss of opportunity;
  • Loss of employment benefits;
  • Relocation expenses;
  • Accommodation costs;
  • Travel costs;
  • Consequential damages;
  • Indirect damages;
  • Special damages;
  • Incidental damages;
  • Punitive damages.

This exclusion applies regardless of the legal basis of the claim, including contract, negligence, delict, statutory duty, or otherwise.

In all circumstances, Swopmatch's maximum aggregate liability shall not exceed the total amount paid by the user to Swopmatch during the twelve (12) months preceding the event giving rise to the claim.

13. User Indemnity

You agree to indemnify, defend, and hold harmless Swopmatch, Partzile (Pvt) Ltd, its directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, costs, losses, penalties, fines, or legal expenses arising from:

  • Your use of the Platform;
  • Your breach of these Terms;
  • Information submitted by you;
  • Disputes between you and other users;
  • Violations of law by you.

14. Suspension and Termination

Swopmatch may suspend or terminate any account immediately if:

  • These Terms are breached;
  • Fraud is suspected;
  • False information is provided;
  • User conduct threatens the safety, integrity, or reputation of the Platform.

Termination may occur without prior notice.

Unused credits expire thirty (30) days after account termination unless otherwise required by law.

15. Force Majeure

Swopmatch shall not be liable for delays, interruptions, or failures resulting from events beyond its reasonable control, including:

  • Government action;
  • Regulatory changes;
  • Internet outages;
  • Telecommunications failures;
  • Cyberattacks;
  • Natural disasters;
  • Civil unrest;
  • Labour disputes.

16. Changes to These Terms

Swopmatch may amend these Terms from time to time.

Continued use of the Platform after revised Terms become effective constitutes acceptance of the updated Terms.

Material changes may be communicated through the Platform, SMS, email, or other reasonable means.

17. Dispute Resolution

Before commencing legal proceedings, users agree to first attempt to resolve disputes by written notice to Swopmatch.

If the dispute is not resolved within thirty (30) days, either party may pursue remedies available under Zimbabwean law.

18. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of Zimbabwe.

The courts of Harare, Zimbabwe shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Platform.

20. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Swopmatch regarding use of the Platform and supersede any prior understandings or representations.
